Street Fighter V Community License Agreement for the Americas (North America, Central America, South America)

This Street Fighter V Community License Agreement (the “Agreement”) sets out the terms and conditions under which you may use the Game in community tournament events.
BY CLICKING THE “ACCEPT” BUTTON, YOU AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN CONTRACT SIGNED BY YOU AND CAPCOM U.S.A., INC. (“Capcom”). IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT USE THE STREET FIGHTER V SERIES (THE “GAME”) FOR ORGANIZING OR HOSTING A TOURNAMENT.
By accepting, you represent that (i) you are of legal age to form a binding contract and (ii) in the event you are acting as an employee or representative of a corporation or other form of organization, you have the authority to bind your employer, corporation, or organization (as applicable) to this Agreement (hereinafter “You”).
Background
Capcom appreciates the passion that our players and community members have for the Game. Capcom desires to allow members of our communities to run community tournament events as a way to enjoy the Game, under the following terms and conditions:
- License
- License Grant. Subject to and conditioned upon Your compliance with the terms and conditions contained herein, Capcom grants You a non-exclusive, revocable, royalty-free license to (i) operate, use, display, and perform the Game in connection with organizing, hosting and producing those events held in the Territory that meet the qualification criteria specified in Section II. (a) below (the “Criteria”; and each such online or in-person tournament event, an “Event”); (ii) use the title names, logos, and box arts of the Game (“Game Assets”) to promote the Event, subject to restrictions set forth in Section IV below; (iii) livestream the Event on video streaming platforms, such as Twitch, YouTube and Facebook; and (iv) record the Event and distribute the recordings with no paywall through streaming platforms.
- Territory. This Agreement applies only to Events held in the Americas (North America, Central America, or South America) (the “Territory”). Please note that this Agreement does NOT apply to Events held in Europe (including Russia and East European countries), the Middle East, Africa, Japan, Asia, or Oceania.
- Continuing Rights. The license granted by Capcom shall, subject to and conditioned upon Your continued compliance with the terms of this Agreement, survive the termination of the Agreement only if such termination was not as a result of Your breach of this Agreement. Such license shall continue only with respect to Your hosting and distribution of Match Footage that had been created prior to the termination of the Agreement, provided that such Match Footage remains available at no charge or any other type of fees to viewers and consumers. “Match Footage” means a video recording of an Event by or on behalf of You of a number of players playing matches, and may include screen displays, audio and sound effects of the Game, participants, spectators, audience, as well as commentator footage. Upon receipt of Capcom’s written notice and in its sole discretion, You must remove Match Footage from streaming platforms and remove Game Assets specified in the written notice.
- Match Footage Use. Capcom may contact you to obtain Your permission to include short excerpts from the Event on Capcom’s official website and social media channels to promote the Game and Capcom.
- EULA. Your use of the Game will be subject to the end user license agreement for the Game in addition to the terms and conditions of this Agreement.
- Reserved Rights. Capcom reserves all rights, including intellectual property rights, in the Game and Game Assets, except for the limited license rights granted under this Agreement.
- Derivative Works. You shall have no right to, and shall not authorize any third party to, modify or create derivative works of the Game or Game Assets or reverse assemble, reverse engineer, decompile, disassemble or otherwise attempt to derive source code from the Game.
- Qualification Criteria
- In order to be qualified as an Event, Your community tournament event must meet the following Criteria:
- Your Event involves gameplay of the Game by participants.
- The prize pool for the Event must be set and clearly disclosed in advance of the Event in the Event Rules (see Section III below) and must not exceed $10,000 USD per Event.
- The sponsorship contributions must not exceed $6,000 USD per Event.
- The total sponsorship contributions within any given 12-month period must not exceed $30,000 USD.
- Livestreaming of the Event is permitted, but no cable or over-the-air TV broadcasts are permitted.
- No manufacturing or sale of merchandise products based upon the Game Assets are permitted.
- You may charge fees to spectators to participate in an Event to defray the cost of hosting and managing the Event.
- For the avoidance of doubt, and subject to sub-paragraph (c) below, this Agreement only covers Events and does not grant a license to operate permanent commercial establishments (e.g., arcades, e-sports bars) for the purposes of the Event.
- You are permitted to operate an Event in a commercial establishment (including a bar, pub, or other similar licensed venue) which is owned and operated by a third party, provided such Event is not sponsored by any person connected with the manufacture, distribution, or sale of alcoholic beverages.
- If Your event is beyond the scope of the Criteria set forth above, You will need to apply for an e-sports license according to Section IX below.
- In order to be qualified as an Event, Your community tournament event must meet the following Criteria:
- Your Obligations
- Event Management. You are solely responsible for all Events that You organize, produce, or host and all costs, expenses, and liabilities incurred by You or on Your behalf in connection with such Events, including, without limitation, production costs, sales and marketing expenses, and all sales, use, value-added, and similar taxes. You will establish a set of written rules governing play of the Game at Your Event (the “Event Rules”) and that You will post it on the Event registration page. You are responsible for the compliance by participants in the Event.
- Permit. You are solely responsible for securing the receipt of all applicable government approvals, licenses, permits and surety or performance bonds necessary to organize and conduct each Event and to exercise of any and all of the rights granted to You hereunder.
- Code of Conduct. You agree to abide by, and to require each Event participant to abide by, the Code of Conduct as set forth in Exhibit 1. You will enforce compliance with the Code of Conduct by all such participants. Failure to do so will constitute material breach of this Agreement.
- Prize Pool. Where the payment of a monetary prize pool is permitted by law, You will establish such prize pool for the Event by (i) creating a formula for determining the total Event prize pool; (ii) creating the payment allocation schedule for payment of such prize pool to the winners of the Event; (iii) announcing to all Participants no later than the commencement of the Event the aforementioned prize pool formula and payment allocation schedule (or where this is not possible, a genuine estimate of the prize pool formula and payment allocation schedule); and (iv) fully funding the prize pool. Please note the use of Matcherino and similar platforms are not authorized in areas where prohibited by the relevant terms of use or law.
- Tax. You will comply with all tax and other laws and regulations applicable to awarding and timely paying of all prizes, including, but not limited to, the prize pool (if any), to the winners of the Event.
- No Reimbursement. You expressly acknowledge and agree that neither You, nor any person working for or with You, has a right to reimbursement from Capcom for any portion of the costs and expenses incurred in connection with the operation, production, management, or hosting of any Event.
- Compliance. You will comply with all laws and regulations applicable to the Event including, health and safety guidelines, data protection laws, and gambling regulations, as well as all applicable rules and regulations governing each foreign jurisdiction from which participants may enter and/or participate in the Event, and ensuring proper reporting to any applicable taxing authority. In the event You collect personal data belonging to participants in the Event, You will comply with all privacy laws and regulations applicable to the collection and use of personal data.
- Participant Permission. Participant Permission. You shall require each player, announcer, commentator, in-person audience member or spectator, and any person in or at the Event who may be recorded, videotaped, or photographed (“Participant”) to grant to You permission to record, videotape and photograph the Participant (“Participant Images”). You shall also require Participant to grant to You and Your designees, the right to use, edit, adapt, post, stream, copy, display, perform, transmit, broadcast, and otherwise commercialize Participant Images, including any names, likenesses, voice, conversation and any other attributes of Participant’s personality and appearance, individually or with others, in whole or in part, alone or in conjunction with other material, in any and all media now known or hereafter devised, in perpetuity throughout the world, for the purpose of trade, advertising, promotion or any other lawful purpose whatsoever, without additional compensation, consideration, notification or permission, except where prohibited by law.
- Integrity of Game and Game Assets. You agree that Your policies and practices with respect to the Event, Match Footage, and Your use of the Game or Game Assets will (i) not reflect adversely upon Capcom’s name or reputation or upon the Game, Game Assets or Match Footage; (ii) will not be disparaging, defamatory or harmful in any way to Capcom, Match Footage, Game, Game Assets; and (iii) will not interfere with or detract from the public image of Capcom, the Game, Game Assets or Match Footage.
- Player Limitation. You agree that You will not enter into any contract or agreement with any person participating in an Event, now or in the future, that prohibits or restricts the ability of that person from playing or participating in Capcom’s own events and tournaments.
- Restrictions
- Style Guide. You may use the Game name and logo and Game Assets according to Capcom Third Party Event Style Guide set forth in Exhibit 2 (the “Style Guide”) to market and promote your Events. You may not, without the prior written consent of Capcom in each instance, change, alter, or modify any of the Game Assets.
- No Capcom Affiliation. You cannot promote Your Event in a way that suggests that Your Event is endorsed by or affiliated with Capcom or our licensors in any manner. You cannot use Capcom’s company logos or trademarks (e.g., CAPCOM) to promote your Event. Furthermore, you must include the following statement in a prominent place on Your Event website and other key marketing materials:“This event is not affiliated with or sponsored by Capcom.”Do not incorporate Street Fighter intellectual property, the Street Fighter name, or the Street Fighter logo into Your Event name or visual advertising.For example: Do not say “Your Brand Street Fighter Event.” Rather, say “Your Brand Event. Featuring Street Fighter.”
- No Official Capcom Qualification. Tournaments held under this Agreement do not count towards qualification in the Capcom Pro Tour or Street Fighter League.
- Prohibited Sponsors, Partners, & Advertising, and Prohibited Activities. Your Event cannot be sponsored by companies that sell or promote, and Your Event cannot be involved with, any products or services (or include any advertising unless served by the streaming platforms on their own) that are: (i) inconsistent with the applicable age rating of the Game; (ii) associated with or relate to gambling, betting, wagering, or lottery; or (iii) inappropriate or offensive, including the following categories: pornography, tobacco, vaping (including e-cigarette), firearms, drugs, alcoholic beverages, political advertising, and gambling.
- No-Warranty, Limitation of Liability
- NO-WARRANTY. THE GAME AND ALL GAME ASSETS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, “WITH ALL FAULTS” AND WITHOUT WARRANTY OF ANY KIND. CAPCOM, ITS LICENSORS, AND ITS AND THEIR AFFILIATES, DISCLAIM ALL WARRANTIES, CONDITIONS, COMMON LAW DUTIES, AND REPRESENTATIONS (EXPRESS, IMPLIED, ORAL, AND WRITTEN) WITH RESPECT TO THE GAME AND THE GAME ASSETS, INCLUDING ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES AND CONDITIONS OF ANY KIND, SUCH AS TITLE, NON-INTERFERENCE WITH YOUR ENJOYMENT, AUTHORITY, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS, OR SUITABILITY FOR ANY PURPOSE (WHETHER OR NOT CAPCOM KNOWS OR HAS REASON TO KNOW OF ANY SUCH PURPOSE), SYSTEM INTEGRATION, ACCURACY OR COMPLETENESS, RESULTS, REASONABLE CARE, WORKMANLIKE EFFORT, AND LACK OF NEGLIGENCE, WHETHER ALLEGED TO ARISE UNDER LAW, BY REASON OF CUSTOM OR USAGE IN THE TRADE, OR BY COURSE OF DEALING.
- Limitation of Liability. To the maximum extent permitted by applicable law, neither Capcom, nor its licensors, nor its or their affiliates, nor any of Capcom’s service providers (collectively, the “Capcom Parties”), shall be liable in any way for any loss of profits or any indirect, incidental, consequential, special, punitive, or exemplary damages, arising out of or in connection with this Agreement, the Game, or the Game Assets, or the delay or inability to use or lack of functionality of the Game, even in the event of a Capcom Party’s fault, tort (including negligence), strict liability, indemnity, product liability, breach of contract, breach of warranty, or otherwise and even if a Capcom Party has been advised of the possibility of such damages.
- Indemnity. You agree to indemnify, pay the defence costs of, and hold Capcom, its licensors, its and their affiliates, and its and their employees, officers, directors, agents, contractors, and other representatives harmless from all claims, demands, actions, losses, liabilities, and expenses (including attorneys’ fees, costs, and expert witnesses’ fees) that arise from or in connection with (a) any breach, or alleged breach, by You of this Agreement; (b) Your negligent acts or omissions; (c) Your violation of any applicable laws or regulations; (d) Your use of the Game in connection with an Event; (e) the organization, operation, production, marketing, or promotion of an Event; and/or (f) the distribution of streams or recordings of Your Events. You agree to reimburse Capcom on demand for any defense costs incurred by Capcom or any other indemnified party and any payments made, or loss suffered, by Capcom or an indemnified party, whether in a court judgment or settlement, based on any matter covered by this Section VI.
- Termination, Changes to this Agreement.
- Capcom may, in its sole discretion, terminate this Agreement and/or Your licenses hereunder at any time, for any reason or without reason, by posting a notice on our website or by contacting you individually.
- Capcom may update, revise, change, or modify this Agreement at any time in its sole discretion by posting a notice on our website. You are responsible for checking this page regularly for any updates, revisions, changes, or modifications. Your continued use of the Game at an Event or promotion of an Event after the posting of revised Agreement on this page means that You accept and agree to the changes.
- For the avoidance of doubt, Capcom shall not be liable for any damage suffered by You in consequence of the termination of this Agreement and/or Your licenses under Section VII. (a) or the changes to this Agreement under Section VII. (b).
- Miscellaneous.
- Governing Law and Jurisdiction. You agree that any dispute or claim by You arising out of or related to this Agreement (“Claim”) shall be governed by laws of the United States and the State of California without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, a Claim shall be instituted exclusively in courts in San Francisco County, California (if under state law) or the Northern District of California (if under federal law). You agree to waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
- Use of Data. You consent that Capcom and Capcom group companies may collect Your data (including name and email address) and share this data within the Capcom group of companies.
- Entire Agreement. This Agreement constitutes the entire agreement between You and Capcom with respect to Your usage of the Game and Game Assets in relation to an Event and supersedes any prior agreement, whether written or oral, relating to the subject matter of this Agreement.
- Assignment. You may not transfer, sublicense or assign this Agreement or any of its rights hereunder, nor delegate or otherwise transfer any of its obligations hereunder, to any third party except with the prior written consent of Capcom. Any attempted or purported assignment, delegation, sublicense or other such transfer without the required consent of Capcom shall be void and a material breach of this Agreement. Subject to the foregoing, this Agreement shall inure to the benefit of the You and Capcom and their respective successors and permitted assigns
- Relationship of You and Capcom. Nothing in this Agreement shall be construed as placing You and Capcom in the relationship of partners, joint venturers, or independent contractors and You shall have no power to obligate or bind Capcom, sign the name of Capcom, or to otherwise represent that Capcom is in any way responsible for Your acts or omissions in any manner whatsoever. You have no authority to create any contract or obligation, express or implied, on behalf of, in the name of, or binding upon Capcom. Nothing in this Agreement shall be construed as creating a third party beneficiary agreement.
- Contact. Any requests or questions regarding this Agreement and the topics they cover may be submitted to [email protected]. If Your tournament does not meet the rules and restrictions for a community license, You can apply for an esports license at [email protected].
Exhibit 1
Street Fighter V Community Code of Conduct
Applicability.
All players are required to maintain respect for each another and all Event personnel and spectators. This Code of Conduct applies to all players, tournament personnel, and all persons attending any Event. In all cases, players agree to be bound by Your decisions and Your authorized representatives, and such decisions shall be final and binding in all respects.
Prohibited Behavior.
Prohibited behavior includes, but is not limited to, the following:
- Excessive swearing and screaming, or threats;
- Harassment (as defined below) or intimidation of any other player, Event personnel or spectator, either in person or through any online channels;
- Physical or cyberviolence;
- Collusion;
- Cheating of any sort through any means, whether currently known or unknown, which may include, without limitation, use of external software that directly tampers with the game software to gain any kind of advantage or to create a disadvantage to other players in the game, MOD and tampering game software by the use of a tampering patch;
- Interference with any infrastructure for the Event, including gaming equipment/hardware, game servers (including the misuse or hacking of game servers) or facilities provided for the tournament;
- Intentionally delaying, slowing or manipulating gameplay;
- Intentionally disconnecting network cables or attempting to interfere with another player’s connection to the game service through Distributed Denial of Service (“DDoS”) or any other means;
- Intentionally interrupting network connectivity;
- Disobeying or showing noticeable or disruptive dissent at the reasonable instructions or requests of the Event organizer or Event personnel;
- Players will adhere to all health and safety protocols outlined by tournament operators or within player agreements for the duration of an Event when applicable. Posting violations to social media will result in immediate expulsion from the Event and a forfeiture of appearance fee if applicable;
- Any other known or unknown manner of tampering with gameplay.
“Harassment” includes but is not limited to: (i) threats of physical violence; (ii) insults related to any player, Event personnel or Event attendee; (iii) offensive statements or actions related to gender, gender identity and expression, age, sexual orientation, disability, physical appearance, body size, race, and/or religion; (iv) sexual images in public spaces; (v) deliberate intimidation including but not limited to stalking or following, (vi) harassing photography or recording; (vii) sustained disruption of talks or other events; and (viii) inappropriate physical contact and unwelcome sexual attention. Harassment should be reported to Event organizer immediately
Insults made during the Event are not tolerated whether they are made in-person and/or electronically, including but not limited to text messages, blog postings and/or social media.
Enforcement and Forfeiture.
The determination of whether a violation of this Code of Conduct has occurred will be made by You based upon the available facts, including but not limited to public reports and witness statements. You will promptly notify Capcom of a violation of this Code of Conduct and its resolution.
Anyone who violates this Code of Conduct may: be immediately excluded and/or disqualified from the applicable tournament and forfeit all potential prizes at the discretion of You or Capcom. Furthermore, extreme statements and/or threats of physical violence are strictly prohibited and may trigger more severe penalties, at the discretion of You or Capcom including but not limited to exclusion from all future Events and any Capcom events, Street Fighter tournaments and/or tournament venues.

1. Usage of Your logo / branding
- Keep Your logo / branding and Capcom’s logo / branding separate.
- Make Your logo / branding more prominent than Capcom’s.

Questions and Answers
Q: Is Matcherino part of the prize pool or sponsorships?
A: If Matcherino (or another crowd funding platform) is used to fund the prize pool, the funding will be counted toward the prize pool limitations. If you’re unable to cap the prize pool funding and expect to exceed the community license thresholds, contact [email protected] and we will review your event and license requirements on a one-to-one basis.
Q: If I hire a photographer/videographer to capture content for an event, do I need to hand that content over to Capcom?
A: No. That content will be bound by the agreement between you and the talent you hire. There may be times that we see footage from an event that we think would look great on official promotional materials. If that happens, we’ll reach out to you to secure usage permission.
Q: How do I calculate the prizing and sponsorship contributions if my Street Fighter V: Champion Edition tournament is part of a multi-game event?
A: Only the portion of the prize pool that is specifically awarded to participants of the Street Fighter V: Champion Edition portion of your event will count toward the prizing limit.
If the total sponsorship contributions for the whole multi-game event is below $6,000, you can apply for a community license as normal. If it exceeds this limit, contact [email protected] and we will review your event and license requirements on a one-to-one basis.
Q: How much does a commercial esports license cost?
A: If you wish to host esports events which may exceed the scope of the no-cost community license, Capcom will take various factors into consideration in deciding whether to grant a commercial esports license. This includes (but is not limited to) the total prize pool, total sponsorships, brand partnerships, spectator fees and broadcasting platforms. Depending on the scale of the event, the license may require a fee, revenue share, ad space or a combination. Contact [email protected] and we will review your event and license requirements on a one-to-one basis.
Q: So, I can charge spectator fees for my event?
A: Yes, as long as those fees are used to offset event costs.
Q: Why are there sponsorship limits?
A: Capcom understands that TOs need time and resources to run successful community events, and that sponsorship is an effective means to offset event costs. We are happy for events to do this under the community license, and the limits are there to make clear where a smaller-scale community license event ends and a larger-scale esports event requiring a commercial license begins. If your sponsorship exceeds the limit of the community license, please contact [email protected] and we will review your event and license requirements on a one-to-one basis.
Q: Can I stream my event on Twitch, YouTube, Facebook Gaming or other streaming platforms?
A: Yes.
Q: Can I run my event at a bar?
A: For the most part, yes, as long as you do not own the bar/establishment and the event is not sponsored by any prohibited brands – including alcohol brands – outlined in Section IV (d).
Q: I run a weekly event with Street Fighter V: Champion Edition. Does this mean I have to submit my event details and accept the Street Fighter V Community License Agreement every week?
A: For weekly events like this, accepting the community license once per 12-month period is okay. In the “Additional Notes” part of the submission form, let us know the frequency of your event along with “Prize Pool” and “Sponsorship Contributions” estimates for that 12-month period. And if you ever exceed the community license limits, contact [email protected] and we will review your event and license requirements on a one-to-one basis.
Q: Does the Street Fighter V Community License Agreement apply to other games within the Street Fighter series?
A: At this time, the community license agreement only covers the Street Fighter V series, including Street Fighter V (2016), Street Fighter V: Arcade Edition (2018) and Street Fighter V: Champion Edition (2020).
Q: Is the Street Fighter V Community License Agreement now set in stone or will it change?
A: Capcom will continue to monitor community feedback to make sure the license agreement is functioning as intended and not hindering TOs from running community events.
